End User License Agreement
Diamond Homes Internal Invoice Processing Application

1. Who this agreement is between
This agreement is between Sanchez Diamond Homes Construction Inc.("the Company") and the individuals the Company authorizes to use its internal invoice processing application ("the Software").
The Software is proprietary to the Company and is used solely for the Company's internal business operations. It is not sold, licensed, distributed, or made available to the public.
2. What the Software does
The Software assists the Company with its accounts payable work. It:
- retrieves messages and attached documents from a Company email mailbox;
- reads those documents to identify invoices, statements, advance requests and related paperwork, and to determine which of the Company's construction projects they relate to;
- connects to the Company's QuickBooks Online account to read accounting data;
- presents the results to authorized Company personnel for review, and produces summaries used to prepare payments.
3. Permitted use
Authorized users may use the Software only for the Company's internal business purposes. Authorized users may not copy, distribute, sell, sublicense, publish, or make the Software available to any third party, or use it for the benefit of any business other than the Company.
4. Data
All business data the Software processes — email, invoices, accounting records, project information — remains the property of the Company.
The Software may transmit document images and text to third-party service providers for the purpose of reading and interpreting them. Authorized users are responsible for not introducing documents into the Software that the Company is not entitled to process.
The Company's handling of data is described in its privacy policy.
5. Accuracy, and the limits of it
The Software assists with the Company's accounts payable work. It does not replace human judgment, and its output is reviewed by a person before it is relied upon. Automated reading of documents is imperfect. Amounts, vendor names, project assignments and totals produced by the Software may be wrong, and authorized users are expected to review them.
The Software does not provide accounting, tax, or legal advice.
6. No warranty
The Software is provided "as is," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will be uninterrupted, error-free, or available at any particular time.
7. Limitation of liability
To the fullest extent permitted by law, no party shall be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to use of the Software.
8. Third-party services
The Software connects to services operated by third parties, including Intuit (QuickBooks Online) and Microsoft (email). Use of those services is governed by their own terms, and this agreement does not modify them. The Company is not responsible for the availability or behaviour of third-party services.
9. Termination
The Company may withdraw any user's access to the Software at any time, for any reason. Access ends automatically when a person is no longer authorized by the Company.
10. Governing law
This agreement is governed by the laws of the State of Texas, without regard to its conflict of laws provisions.
